Executive Summary
Minimally invasive device company ArthroCare raised $75mm through the sale of its 3% Series A preferred stock to One Equity Partners (OEP), the private equity arm of JPMorgan Chase. The shares convert into common at $15 each. Two partners from OEP joined the company's board. Assuming full conversion of the preferred shares, OEP will come out of the transaction owning 15.7% of ArthroCare, a company that manufactures devices based on its Coblation radiofrequency technology.
