Executive Summary

HumaScan, a former breast cancer detection firm (now inactive), has announced an agreement to acquire The New Algae Company and The New Earth Company, which do business as Cell Tech and market 48 Super Blue Green products. Cell Tech's 1998 sales totaled $70 mil., with net income of $3.2 mil., assets of $42 mil., and stockholder equity of $32.6 mil., the company says. HumaScan will issue Cell Tech principals Marta and Daryl Kollman shares of common stock and series B preferred shares representing more than 92% of equity in HumaScan in exchange for Cell Tech stock. HumaScan will change its name to Cell Tech after the deal closes, which is expected in mid-August. Cell Tech was founded in 1982 and currently has more than 90,000 distributors
